Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Services

Oriented Software provides custom software development, AI integration, consulting, and related technology services. The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate written agreement or statement of work between you and Oriented Software.

Intellectual Property

Unless otherwise specified in a project agreement:

• All intellectual property rights in custom software developed for you will be assigned to you upon full payment.
• We retain the right to use general knowledge, skills, and experience gained during the project.
• Pre-existing materials, tools, and frameworks owned by Oriented Software remain our property, though you receive a license to use them as part of your deliverables.
• The content on our website, including text, graphics, logos, and images, is owned by Oriented Software and protected by copyright laws.

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the project
• Respond to requests for feedback, approvals, and materials in a timely manner
• Ensure you have the right to use any materials, content, or data you provide to us
• Make payments according to the agreed schedule
• Designate authorized representatives to make decisions on your behalf

Payment Terms

Payment terms will be specified in your project agreement. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest charges and may result in suspension of services. All fees are non-refundable unless otherwise specified.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, customer data, and any information marked as confidential. This obligation survives the termination of our engagement.

Limitation of Liability

To the maximum extent permitted by law, Oriented Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, except as expressly stated in your project agreement. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements beyond those documented in the agreement.

Termination

Either party may terminate a project engagement as specified in the project agreement. Upon termination, you will pay for all work completed up to the termination date. We will deliver all completed work product and return any materials you provided.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction where Oriented Software operates, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
